تصبح شروط ضمان الحساب البنكي ومعالجة المدفوعات جزءًا من طلب جديد فقط عند إدراج نسختها المؤرخة صراحةً وقبولها قبل الدفع. وتوفّر استردادًا جزئيًا مشروطًا لرسوم إعداد دولي، مع تقييم كل خدمة مشمولة على حدة. للخدمة غير المكتملة المستحقة للاسترداد، يُردّ 500 دولار أو رسومها المدفوعة فعليًا بعد الخصم، أيّهما أقل؛ وبحد إجمالي أقصى قدره 1,000 دولار. ولا يعني ذلك استرداد كامل سعر الباقة أو دفعة الحساب البنكي والمدفوعات.
في هذه الطلبات المشمولة، تسري شروط الضمان المحدّدة على نطاق الاسترداد ومعايير الإتمام والمواعيد وإجراءات المطالبة عند تعارضها مع أي حكم عام لعدم الاسترداد في هذه السياسات. ولا يلغي بدء العمل أو تأخّر معالجة جهة خارجية أو قرار المزوّد المستقل بذاته ذلك الضمان المقبول. وتستمر سياسة الاسترداد العامة الكاملة في تنظيم مسائل الاسترداد الأخرى. وتبقى استثناءات استرداد رسوم التأسيس البالغة 399 دولارًا كاملةً، وأي حق مستقل ناشئ عن إخلال دولي، والحقوق الإلزامية والدعم المقبول دون تغيير.
تبقى الطلبات السابقة خاضعة لشروطها المقبولة. ولا تضيف هذه السياسة بأثر رجعي أو تحذف أو تغيّر أي ضمان أو توزيع رسوم أو التزام تجديد أو حق استرداد لطلب قائم. ولا يُعدّ تعديل الموقع لاحقًا وحده تعديلًا لذلك الطلب.

تُشكِّل شروط الخدمة هذه (Terms of Service) ("الشروط") اتفاقية ملزمة بينك ("أنت" أو "الخاص بك" أو "العميل") وبين Dawly، وهي شركة مؤسَّسة بموجب قوانين ولاية وايومنغ بالولايات المتحدة ("Dawly" أو "نحن" أو "لنا" أو "الخاصة بنا"). وتحكم هذه الشروط وصولك إلى موقع Dawly الإلكتروني على dawly.com وبوابة عملاء Dawly وخدمات التأسيس والامتثال التي نقدمها، واستخدامك لها (يُشار إليها معًا بـ"الخدمات").
يُرجى قراءة هذه الشروط بعناية. فبإنشائك حسابًا أو تقديمك طلبًا أو استخدامك للخدمات بأي شكل آخر، فإنك توافق على هذه الشروط. وإذا لم توافق، فلا تستخدم الخدمات.
تتضمن هذه الشروط أحكامًا مهمة تؤثر في حقوقك، بما في ذلك تحديد المسؤولية (القسم 13)، وإخلاء المسؤولية عن الضمانات على أساس "كما هي" (القسم 12)، وقسمًا خاصًا بتسوية النزاعات والقانون الحاكم (القسم 17). يُرجى قراءتها.
تساعد Dawly المؤسسين غير المقيمين والأجانب على تأسيس شركات ذات مسؤولية محدودة (LLC) أمريكية والحفاظ عليها. ونحن نعمل بصفتنا ميسِّرًا لعمليات الإيداع ومقدِّم خدمات إدارية؛ إذ نُعِدُّ المستندات ونقدمها، وننسِّق مع الجهات الحكومية ومقدمي الخدمات الخارجيين، ونساعدك على إبقاء شركتك في وضع قانوني سليم.

بحسب الباقة التي تشتريها، قد تشمل الخدمات ما يلي:
يعتمد النطاق الدقيق والمخرجات وأي بنود مستمرة/تجديدية على الباقة المحددة التي تختارها عند إتمام الشراء وعلى أي وصف للخطة يُعرض عليك في ذلك الوقت، وهي تصف مشترياتك جنبًا إلى جنب مع هذه الشروط.
ما لم يُنص صراحةً على خلاف ذلك في باقتك، لا تشمل الخدمات ما يلي:
إذا احتجت إلى أي شيء يتجاوز باقتك، فقد يكون متاحًا مقابل رسوم إضافية، أو قد يتطلب مختصًا مؤهلاً تتعاقد معه بشكل منفصل.
نقوم بإعداد الإيداعات وتقديمها والتنسيق مع الجهات الحكومية المعنية. أما الموافقة النهائية على أي إيداع حكومي ومعالجته وتوقيته فهي أمور تتحكم فيها تلك الجهات (مثل الولاية وIRS)، لا Dawly. انظر القسم 8 (عدم الضمان).
لاستخدام الخدمات، يجب أن يكون عمرك 18 عامًا على الأقل (أو سن الرشد في مكان إقامتك)، وأن تكون قادرًا على إبرام عقد ملزم، وقادرًا على تقديم معلومات دقيقة عن هويتك وشركتك.
قبل قبول خدمة الحساب البنكي أو معالجة المدفوعات، نراجع النشاط الحالي والمالكين والإقامة والاستخدام المقصود والإمكانات المطلوبة. أفصح عن أي رفض سابق لطلب لدى بنك أو مزوّد دفع، أو حجز أو تجميد أو تعليق أو إغلاق لحساب، مع الأسباب والسجلات المتاحة لك. لا تؤدي السوابق المصرّح بها إلى رفضك تلقائيًا. نقيّم الوقائع ونؤكّد نطاق الخدمة المقبول وأهلية الضمان كتابيًا قبل تحصيل رسوم الخدمة المعنية. لا تخضع طلبات التأسيس وحده لمتطلبات التأهّل البنكي أو للمدفوعات. إذا كان الحساب البنكي أو قبول المدفوعات سببًا أساسيًا للتأسيس، يجب مراجعة الخطة كاملةً قبل أي دفعة تأسيس؛ وتتطلب المتابعة بالتأسيس وحده اختيارًا صريحًا منك بعد توضيح ذلك.
نظرًا لأن خدماتنا تتعلق بالنظام القانوني والمالي الأمريكي، يتعين علينا الامتثال للقانون الأمريكي، بما في ذلك العقوبات الاقتصادية التي يديرها مكتب مراقبة الأصول الأجنبية (OFAC) التابع لوزارة الخزانة الأمريكية.
لا يمكننا تقديم الخدمات إلى المقيمين في الولايات القضائية الخاضعة لعقوبات شاملة أو المقيَّدة أو إلى مواطنيها، أو لمصلحتهم، أو إلى الأشخاص أو الكيانات المحظورين بأي شكل آخر بموجب القانون المعمول به. وتشمل الولايات القضائية المقيَّدة، على سبيل المثال، إيران وكوريا الشمالية وكوبا وسوريا وروسيا وبيلاروسيا وأفغانستان وغيرها مما يرد في القائمة التي نحتفظ بها ونحدِّثها من وقت لآخر. وقد تتغير هذه القائمة بتغير القوانين.
أنت تقر وتضمن ما يلي:
نُجري فحصًا للعملاء وفق هذه المتطلبات في إطار عملية التحقق من الهوية والانضمام لدينا. ونحتفظ بالحق في رفض الخدمات أو تعليقها أو إنهائها في أي وقت، بإشعار أو دونه، إذا قررنا (وفق تقديرنا المطلق) أن تقديمها سيخالف أو قد يخالف القانون المعمول به أو هذه الشروط. وعند رفض الخدمات أو إنهائها لهذه الأسباب، يبقى الاسترداد خاضعًا للقسم 7 وسياسة الاسترداد، بما في ذلك استثناء استرداد رسوم التأسيس كاملةً، أي 399 دولارًا.
توافق على ألا تستخدم الخدمات، أو أي شركة نساعدك في تأسيسها، من أجل:
أنت مسؤول عن ضمان أن تكون شركتك وأنشطتها قانونية في الولايات المتحدة وفي كل ولاية قضائية تعمل أو تقيم فيها.
أنت توافق على ما يلي:
أنت مسؤول عن دقة كل ما تقدمه. وأي تأخير أو رفض أو غرامات أو تكاليف إضافية ناجمة عن معلومات غير دقيقة أو ناقصة أو متأخرة تقع على مسؤوليتك، وتخضع الرسوم الإضافية الناتجة عن ذلك لشروطها. ولا يلغي ذلك استثناء استرداد رسوم التأسيس البالغة 399 دولارًا في القسم 7.4.
لاستخدام الخدمات، ستنشئ حسابًا وتصل إلى بوابة عملاء آمنة نخزِّن فيها مستندات التأسيس الخاصة بك وخطاب EIN والتوقيعات الإلكترونية والسجلات ذات الصلة.
أنت مسؤول عن:
توافق على عدم مشاركة حسابك، وعلى عدم محاولة الوصول إلى حساب شخص آخر، وعلى عدم التدخل في أمن البوابة أو تشغيلها. ويجوز لنا تعليق الوصول إذا اعتقدنا بشكل معقول أن حسابك يُساء استخدامه أو أن ذلك ضروري لحمايتك أو لحماية عملاء آخرين أو Dawly.
نتخذ تدابير معقولة لحماية بياناتك، لكن لا يوجد نظام آمن تمامًا، ولا يمكننا ضمان الأمان المطلق. انظر القسم 12 وسياسة الخصوصية الخاصة بنا.
عملاؤنا موجودون في مختلف أنحاء العالم. ولتقديم الخدمات، تُعالَج بياناتك الشخصية وتُخزَّن في الولايات المتحدة، وقد تُشارَك مع مقدمي خدماتنا الخارجيين الموجودين في الولايات المتحدة وغيرهم (على سبيل المثال، مزوِّد التحقق من الهوية لدينا، ومعالج المدفوعات، وأنظمة الوكيل المسجَّل والإيداعات الحكومية، ومقدمي خدمات الاستضافة/الحوسبة السحابية). وباستخدامك للخدمات، فإنك تدرك وتوافق على أن بياناتك ستُنقل إلى الولايات المتحدة وتُعالَج فيها.
توضح سياسة الخصوصية الخاصة بنا كيفية جمعنا لبياناتك الشخصية واستخدامها وتخزينها ومشاركتها، وهي مدمجة في هذه الشروط بالإحالة. يُرجى قراءتها بعناية.
توافق على دفع الرسوم المدرجة للباقة أو الخدمات التي تشتريها، بالعملة والمبالغ المعروضة عند إتمام الشراء. وتُحصَّل رسوم خدماتنا عبر معالج مدفوعات خارجي (على سبيل المثال، Stripe) يعالج المدفوعات نيابةً عنا لتحصيل رسوم Dawly. وبقيامك بالدفع، فإنك تأذن بذلك الخصم وتوافق على تعامل معالج المدفوعات مع دفعتك. ولا تتقاضى Dawly سوى رسوم خدماتها الخاصة. فنحن لا نحتفظ بأموال نيابةً عنك ولا نحفظها ولا نحوِّلها ولا نعالجها، ولا نقدم لك أي خدمة مصرفية أو خدمة تحويل أموال أو خدمة مدفوعات · فدفعتك هي فقط مقابل خدمات التأسيس والامتثال الموصوفة في هذه الشروط.
بعض الرسوم تحددها وتحصِّلها حكومات أو أطراف خارجية (على سبيل المثال، رسوم الإيداع لدى الولاية). وهذه الرسوم الحكومية ورسوم الأطراف الخارجية تحددها تلك الجهات ولا تتحكم فيها Dawly. وبحسب باقتك، قد تكون مشمولة في السعر أو تُحصَّل بشكل منفصل، كما يُفصح عنه عند إتمام الشراء. ويمكن أن تتغير الرسوم الحكومية في أي وقت دون إشعار منا.
إذا كانت باقتك تشمل امتثالًا سنويًا مستمرًا (مثل التقارير السنوية للولاية أو تجديد الوكيل المسجَّل أو إعداد الإقرار الضريبي السنوي)، فإن هذه البنود تتكرر سنويًا وتُفوتَر كما هو موضح في خطتك. وسنبذل جهودًا معقولة لتذكيرك بالتجديدات القادمة، لكن إبقاء شركتك في وضع قانوني سليم يظل مسؤوليتك. وقد يؤدي تفويت التجديدات إلى غرامات حكومية أو إلى حل الشركة، وهو ما لا تتحمل Dawly مسؤوليته.
رسوم تأسيس الشركة البالغة 399 دولارًا غير قابلة للاسترداد، إلا إذا ارتكبت دَولي خطأً في خدمة التأسيس أو لم تسلّم وثائق الشركة المتفق عليها. في أيٍّ من الحالتين، نردّ مبلغ 399 دولارًا كاملًا دون خصم التكاليف الحكومية أو تكاليف الجهات الخارجية المشمولة فيه.
تبقى رسوم التأسيس البالغة 399 دولارًا منفصلة داخل الطلب الذي يجمع التأسيس والخدمات البنكية والمدفوعات. الخدمات البنكية والمدفوعات خدمات منفصلة، وتسري عليها شروط الاسترداد الخاصة بها. رفض البنك أو مزوّد الدفع للطلب لا يتيح استرداد رسوم التأسيس.
رسوم الخدمات الأخرى غير قابلة للاسترداد بعد بدء العمل، إلا إذا نصّت شروطها المقبولة على خلاف ذلك أو أخفقت دَولي في تقديم الخدمة الأساسية بسبب خطئها وحده. في هذه الحالة، يمكنك طلب استرداد رسوم خدمة دَولي المتأثرة. تبقى الرسوم الحكومية ورسوم الجهات الخارجية المدفوعة لتلك الخدمات الأخرى غير قابلة للاسترداد. ولا تُنقص هذه القواعد مبلغ استرداد التأسيس الكامل البالغ 399 دولارًا الموضح أعلاه.
تبقى الاتفاقيات المقبولة سابقًا سارية بشروطها. يُقرأ هذا القسم مع سياسة الاسترداد التي تكون لها الأولوية في مسائل الاسترداد عند التعارض.
نُعِدُّ الإيداعات ونقدمها بعناية، لكننا لا نضمن ولا يمكننا أن نضمن أي نتيجة حكومية معينة أو أي جدول زمني معين.
الأطر الزمنية لمعالجة الجهات الحكومية والمزوّدين تقديرات بحسن نية وليست وعودًا بقراراتهم. أما مواعيد مراجعة الطلبات والإتمام والاسترداد التي تقبلها دولي صراحةً في شروط ضمان مشمول، فتبقى التزامات تعاقدية ولا يلغيها هذا البند.
الحساب البنكي التجاري وبوابة الدفع تفتحهما وتديرهما مؤسسات مالية مستقلة، لا Dawly. نحن نُعِدّ الطلبات القوية ونقدّمها، لكن قرار الموافقة على الطلب أو رفضه · ولاحقًا تقييد الحساب أو وضع قيد عليه أو تجميده أو تعليقه أو إغلاقه أو فرض شروط عليه، أو طلب معلومات أو مستندات إضافية في أي وقت · يعود بالكامل إلى تلك المؤسسات وفق سياساتها ونماذج المخاطر لديها والتزاماتها القانونية والرقابية. ولا نضمن · ولا نستطيع أن نضمن · الموافقة على أي طلب، ولا بقاء أي حساب أو مزوّد مفتوحًا بعد فتحه. وأي تجميد أو تعليق أو إغلاق أو تقييد أو متطلب إضافي يفرضه بنك أو مزوّد دفع هو خارج نطاق سيطرة Dawly، وليس مسؤولية Dawly، ولا يتيح استرداد رسوم التأسيس. وسنساعدك على الاستجابة لطلبات المؤسسة المعقولة كجزء من خدمتنا، لكننا لا نستطيع إجبار أي مؤسسة على الوصول إلى قرار معيّن أو الإبقاء عليه.
الخدمات والموقع الإلكتروني وبوابة العملاء وجميع ما يتصل بها من برمجيات ونصوص وتصاميم وشعارات وعلامات تجارية ونماذج ومحتوى (باستثناء بياناتك ومستنداتك الخاصة) مملوكة لـ Dawly أو لمرخِّصيها ومحمية بقوانين الملكية الفكرية.
نمنحك ترخيصًا محدودًا وغير حصري وغير قابل للنقل وقابلًا للإلغاء لاستخدام الخدمات والبوابة في إطار استخدامك القانوني الخاص للخدمات. ولا يجوز لك نسخ أي جزء من الخدمات أو تعديله أو توزيعه أو إعادة بيعه أو إجراء هندسة عكسية له أو إنشاء أعمال مشتقة منه إلا بما يسمح به القانون.
وتحتفظ أنت بملكية المستندات والمعلومات التي تقدمها. وتمنحنا الحقوق اللازمة لاستخدام تلك المعلومات لتقديم الخدمات (بما في ذلك مشاركتها مع مقدمي الخدمات الخارجيين الموصوفين في هذه الشروط وفي سياسة الخصوصية). ومستندات التأسيس والإيداعات المكتملة التي نسلمها لك هي ملكك لاستخدامها لشركتك.
خصوصيتك تهمنا. ويخضع جمعنا واستخدامنا للبيانات الشخصية · بما في ذلك وثائق هويتك التي يجري التحقق منها عبر مزوِّدنا الخارجي Didit · لسياسة الخصوصية الخاصة بنا. وباستخدامك للخدمات، فإنك تقر بأنك قرأتها وفهمتها. انظر أيضًا القسم 6 (نقل البيانات دوليًا).
تعتمد الخدمات على أطراف خارجية، من بينها (على سبيل المثال لا الحصر) مزوِّد التحقق من الهوية لدينا (Didit)، ومعالج المدفوعات لدينا (مثل Stripe)، ومقدمو خدمات الاستضافة والبنية التحتية السحابية (مثل Netlify)، وأنظمة الوكيل المسجَّل، والجهات الحكومية. وقد يخضع استخدامك لتلك الخدمات لشروطها وسياساتها الخاصة. ونحن لسنا مسؤولين عن أفعال الأطراف الخارجية أو الجهات الحكومية أو عن تقصيرها أو توافرها أو أدائها، والتأخيرات أو الأخطاء الناجمة عنها ليست ضمن سيطرتنا.
تُقدَّم الخدمات "كما هي" (As Is) و"حسب توافرها"، دون ضمانات من أي نوع، سواء أكانت صريحة أم ضمنية أم قانونية. وإلى أقصى حد يسمح به القانون، تُخلي Dawly مسؤوليتها عن جميع الضمانات، بما في ذلك أي ضمانات ضمنية تتعلق بالقابلية للتسويق أو الملاءمة لغرض معين أو الملكية أو عدم الانتهاك، وأي ضمانات تنشأ عن سياق التعامل أو العرف.
ودون تقييد لما سبق، لا تضمن Dawly ما يلي:
لا تسمح بعض الولايات القضائية باستبعادات معينة من الضمانات، لذا قد لا ينطبق عليك بعض ما سبق.
إلى أقصى حد يسمح به القانون:
وتنطبق هذه التحديدات بصرف النظر عن الأساس القانوني (عقدًا كان أو مسؤولية تقصيرية أو قانونًا أو غير ذلك)، وهي أساس جوهري للاتفاق المبرم بينك وبين Dawly. ولا تسمح بعض الولايات القضائية بتحديدات معينة، لذا قد لا ينطبق عليك بعض ما سبق.
لا يتجاوز أي استبعاد أو سقف للمسؤولية أو قاعدة لعدم الاسترداد أو حكم بانحصار سبل الانتصاف في هذه الشروط التزامًا صريحًا بالاسترداد، أو استثناء ردّ رسوم التأسيس البالغة 399 دولارًا كاملةً، أو حقوقًا أو مسؤوليات لا يجوز تقييدها قانونًا. ولا يشمل استبعاد مسؤولية إجراءات المزوّد خسارة تسبّب فيها أو أسهم فيها إخلال دولي بالتزاماتها أو إهمالها أو احتيالها أو سوء سلوكها. وتبقى التزامات الدعم المقبولة سارية.
توافق على الدفاع عن Dawly ومالكيها ومسؤوليها وموظفيها ومتعاقديها ومقدمي خدماتها وتعويضهم وإبراء ذمتهم من وضد أي مطالبات أو طلبات أو خسائر أو التزامات أو أضرار أو تكاليف أو نفقات (بما في ذلك الأتعاب القانونية المعقولة) تنشأ عما يلي أو تتعلق به:
يجوز لنا تعليق وصولك إلى الخدمات أو إنهاؤه، أو رفض بدء العمل أو الاستمرار فيه، في أي وقت، بإشعار أو دونه، في الحالات التالية:
ويجوز لك التوقف عن استخدام الخدمات في أي وقت. ولا ينشئ الإنهاء بحدّ ذاته حقًا في الاسترداد؛ وتبقى استثناءات القسم 7 سارية، بما فيها استرداد رسوم التأسيس كاملةً، أي 399 دولارًا. وتظل الأقسام التي ينبغي بطبيعتها أن تبقى سارية بعد الإنهاء · بما في ذلك الأقسام 1 و7 و9 و12 و13 و14 و16 و17 و18 · سارية بعده.
وعند الإنهاء، يجوز لنا، بما يتفق مع سياسة الخصوصية الخاصة بنا والقانون المعمول به، الاحتفاظ ببياناتك ومستنداتك أو حذفها. وتستمر شركتك، بمجرد تأسيسها، في الوجود بموجب قانون الولاية بشكل مستقل عن هذه الشروط؛ وتظل أنت مسؤولًا عن امتثالها المستمر.
يجوز تحديث هذه الشروط للمستقبل مع تحديد كل نسخة معتمدة وتاريخ سريانها. تخضع الطلبات الجديدة للنسخة المقبولة قبل الدفع. ولا يُنقص التحديث بأثر رجعي حقوق طلب قائم ولا يغيّر سعره أو ضمانه أو نطاق خدمته. تتطلب التغييرات الجوهرية في ارتباط قائم الاتفاق أو آلية الإشعار المسموح بها أصلًا في شروطه المقبولة والقانون المطبّق؛ ولا يُعدّ استمرار استخدام الموقع وحده قبولًا لطلب خدمة مختلف.
ويجوز لنا أيضًا تعديل أي جزء من الخدمات أو تعليقه أو إيقافه في أي وقت.
تخضع هذه الشروط وأي نزاع ينشأ عنها أو عن الخدمات أو يتعلق بأي منهما لقوانين ولاية وايومنغ بالولايات المتحدة، دون اعتبار لقواعد تنازع القوانين فيها.
قبل بدء أي إجراء رسمي، توافق على أن تحاول أولاً حل النزاع وديًا بالتواصل معنا على legal@dawly.com. وسنسعى بحسن نية إلى حله. وإذا لم نتمكن من حله خلال 30 يومًا، فيجوز لأي من الطرفين اللجوء إلى سبل الانتصاف الواردة أدناه.
باستثناء (أ) حق أي من الطرفين في طلب انتصاف زجري أو غيره من أوجه الانتصاف العادلة أمام المحاكم لحماية ملكيته الفكرية أو معلوماته السرية، و(ب) المطالبات المؤهلة التي يجوز رفعها أمام محاكم الدعاوى الصغيرة، فإن أي نزاع أو مطالبة أو خلاف ينشأ عن هذه الشروط أو الخدمات أو يتعلق بها ولا يُحل وديًا يُسوَّى حصريًا عن طريق تحكيم فردي نهائي وملزم، وليس أمام محكمة قانونية. ويُدار التحكيم من قِبل جمعية التحكيم الأمريكية (American Arbitration Association) وفق قواعدها المعمول بها آنذاك، ويكون مقره وايومنغ، الولايات المتحدة، ويُجرى باللغة الإنجليزية. ويجوز تسجيل الحكم الصادر عن المحكِّم لدى أي محكمة مختصة.
تتنازل أنت وDawly، كلٌّ منكما عن علم وطواعية، عن الحق في رفع دعوى أمام محكمة قانونية وعن الحق في المحاكمة أمام هيئة محلفين. وبموافقتك على هذه الشروط، فإنك تدرك أنك تتخلى عن حقك في التقاضي بشأن النزاعات أمام محكمة أمام قاضٍ أو هيئة محلفين، باستثناء ما هو منصوص عليه صراحةً أعلاه.
إلى أقصى حد يسمح به القانون، تُسوَّى جميع النزاعات على أساس فردي فقط. وتتنازل أنت وDawly، كلٌّ منكما، عن أي حق في رفع أي دعوى جماعية أو مشتركة أو مجمَّعة أو تمثيلية أو المشاركة فيها، ولا يجوز للمحكِّم ضم مطالبات أكثر من شخص واحد ولا ترؤس أي إجراء جماعي أو تمثيلي.

The Banking and Payment Processing Guarantee Terms form part of a new order only when that dated version is expressly included and accepted before payment. They provide a conditional, partial refund of Dawly’s setup fees, assessed separately for each covered service. For an eligible unsuccessful service, the refund is the lower of $500 and its fee actually paid after discounts; the combined maximum is $1,000. This is not a full package or full Banking & Payments charge refund.
For those covered orders, the specific guarantee controls its refund scope, completion criteria, deadlines and claims procedure where it conflicts with a general non-refund provision in these policies. Starting work, third-party processing delays, or the independent provider’s decision do not by themselves remove that accepted guarantee. The complete general Refund Policy continues to govern other refund matters. The full $399 formation exceptions, any independent remedy for Dawly’s own breach, mandatory rights and accepted support remain unchanged.
Earlier orders retain their accepted terms. This policy does not retrospectively add, remove or alter a guarantee, fee allocation, renewal commitment or refund right on an existing order. A later website revision alone does not amend that order.

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or the "Client") and Dawly, a company organized under the laws of the State of Wyoming, United States ("Dawly," "we," "us," or "our"). They govern your access to and use of the Dawly website at dawly.com, the Dawly client portal, and the formation and compliance services we provide (together, the "Services").
Please read these Terms carefully. By creating an account, placing an order, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms include important provisions that affect your rights, including a limitation of liability (Section 13), an "as is" disclaimer (Section 12), and a section on dispute resolution and governing law (Section 17). Please read them.
Dawly helps non-resident and foreign founders form and maintain U.S. limited liability companies (LLCs). We act as a filing facilitator and administrative service provider. We prepare and submit paperwork, coordinate with government agencies and third-party providers, and help you keep your company in good standing.

The exact scope, deliverables, and any ongoing/renewal items depend on the specific package you select at checkout and any plan description shown to you at that time, which together with these Terms describe your purchase.

If you need anything beyond your package, it may be available for an additional fee or may require a qualified professional that you engage separately.
We prepare and submit filings and coordinate with the relevant government agencies. Final approval, processing, and timing of any government filing are controlled by those agencies (such as the state and the IRS), not by Dawly. See Section 8 (No Guarantee).
To use the Services, you must be at least 18 years old (or the age of majority where you live), able to form a binding contract, and able to provide accurate identity and company information.
Before accepting Banking or Payment Processing, we review the current business, owners, residence, intended use and required capabilities. Disclose any previous bank or payment-provider application rejection, account hold, freeze, suspension or closure, together with the reasons and records available to you. A disclosed history does not automatically disqualify you. We assess the facts and confirm the accepted service scope and guarantee eligibility in writing before taking payment for the affected service. Formation-only orders do not inherit banking or payment qualification requirements. If banking or payment processing is essential to your reason for forming, the combined plan must be reviewed before any formation payment; proceeding with Formation alone requires your express informed choice.
Because our Services involve the U.S. legal and financial system, we must comply with U.S. law, including economic sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
We cannot provide Services to, or for the benefit of, residents or nationals of comprehensively sanctioned or restricted jurisdictions, or to persons or entities that are otherwise prohibited under applicable law. Restricted jurisdictions include, for example, Iran, North Korea, Cuba, Syria, Russia, Belarus, Afghanistan, and others on the list we maintain and update from time to time. This list may change as laws change.
You represent and warrant that:
We screen clients against these requirements as part of our identity and onboarding process. We reserve the right to refuse, suspend, or terminate Services at any time, with or without notice, if we determine (in our sole discretion) that providing them would or might violate applicable law or these Terms. Where Services are refused or terminated for these reasons, refunds remain governed by Section 7 and the Refund Policy, including the full $399 formation exception.
You agree that you will not use the Services, or any company we help you form, to:
You are responsible for ensuring that your company and its activities are lawful in the United States and in every jurisdiction where you operate or reside.

You are responsible for the accuracy of everything you submit. Delays, rejections, penalties, or extra costs caused by inaccurate, incomplete, or late information are your responsibility, and any resulting additional fees follow their applicable terms. This does not remove the $399 formation refund exception in Section 7.4.
To use the Services you will create an account and access a secure client portal, where we store your formation documents, EIN letter, e-signatures, and related records.
You are responsible for:
You agree not to share your account, attempt to access another person's account, or interfere with the security or operation of the portal. We may suspend access if we reasonably believe your account is being misused or that doing so is necessary to protect you, other clients, or Dawly.
We take reasonable measures to protect your data, but no system is perfectly secure, and we cannot guarantee absolute security. See Section 12 and our Privacy Policy.
Our clients are located around the world. To provide the Services, your personal data is processed and stored in the United States and may be shared with our U.S.-based and other third-party providers (for example, our identity-verification provider, payment processor, registered-agent and government filing systems, and hosting/cloud providers). By using the Services, you understand and agree that your data will be transferred to and processed in the United States.
How we collect, use, store, and share your personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully.
You agree to pay the fees listed for the package or Services you purchase, in the currency and amounts shown at checkout. Our service fees are charged through a third-party payment processor (for example, Stripe), which processes payments on our behalf to collect Dawly's fees. By paying, you authorize that charge and agree to the payment processor's handling of your payment. Dawly charges only its own service fees. We do not hold, custody, transmit, or process money on your behalf, and we do not provide any banking, money-transmission, or payment service to you — your payment is solely for the formation and compliance Services described in these Terms.
Some fees are set and collected by governments or third parties (for example, state filing fees). These government and third-party fees are set by those agencies and are not controlled by Dawly. Depending on your package, they may be included in the price or charged separately, as disclosed at checkout. Government fees can change at any time without notice from us.
If your package includes ongoing annual compliance (such as state annual reports, registered-agent renewal, or annual tax filing preparation), those items recur on an annual basis and are billed as described in your plan. We will make reasonable efforts to remind you of upcoming renewals, but it is your responsibility to keep your company in good standing. Missed renewals can lead to government penalties or dissolution, which are not Dawly's responsibility.
The $399 company formation fee is non-refundable unless Dawly makes an error in your formation service or fails to deliver the agreed company documents. In either case, we refund the full $399 without deducting government or third-party costs included in that fee.
The $399 formation fee remains separate within a combined order with Banking and Payments. Banking and Payments are separate services with their own applicable refund terms. A bank or payment provider declining an application does not make the formation fee refundable.
Fees for other services are non-refundable after work begins, except where their accepted terms say otherwise or Dawly fails to deliver the core service due solely to its own fault. In that case, you may request a refund of the affected Dawly service fee. Government and third-party fees paid for those other services remain non-refundable. These rules do not reduce the full $399 formation refund above.
Earlier accepted agreements retain their terms. Read this section with the Refund Policy, which governs refund matters in case of conflict.
We prepare and submit filings carefully, but we do not and cannot guarantee any particular government outcome or timeline.
Government and provider processing timelines are good-faith estimates, not promises of their decisions. Any application-review, completion or refund deadlines Dawly expressly accepts under a covered guarantee remain contractual obligations and are not removed by this section.
A business bank account and a payment processor are opened and maintained by independent financial institutions, not by Dawly. We prepare and submit strong applications, but the decision to approve or decline an application — and to later restrict, hold, freeze, suspend, close, or impose conditions on an account, or to request additional information or documents at any time — rests entirely with those institutions, under their own policies, risk models, and legal and compliance obligations. We do not and cannot guarantee that any application will be approved, or that an account or processor, once opened, will stay open. Any freeze, suspension, closure, limitation, or additional requirement imposed by a bank or payment provider is outside Dawly's control, is not Dawly's responsibility, and does not make the formation fee refundable. We will help you respond to reasonable institution requests as part of our service, but we cannot compel any institution to reach or keep any particular decision.
The Services, the website, the client portal, and all related software, text, designs, logos, trademarks, templates, and content (excluding your own data and documents) are owned by Dawly or our licensors and are protected by intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services and the portal for your own lawful use of the Services. You may not copy, modify, distribute, resell, reverse-engineer, or create derivative works from any part of the Services except as allowed by law.
You retain ownership of the documents and information you provide. You grant us the rights necessary to use that information to provide the Services (including sharing it with the third-party providers described in these Terms and the Privacy Policy). The completed formation documents and filings we deliver are yours to use for your company.
Your privacy matters to us. Our collection and use of personal data — including your identity documents, which are verified through our third-party provider Didit — is governed by our Privacy Policy. By using the Services, you acknowledge that you have read and understood it. See also Section 6 (International Data Transfer).
The Services rely on third parties, including (among others) our identity-verification provider (Didit), our payment processor (such as Stripe), hosting and cloud infrastructure providers (such as Netlify), registered-agent systems, and government agencies. Your use of those services may be subject to their own terms and policies. We are not responsible for the acts, omissions, availability, or performance of third parties or government agencies, and delays or errors caused by them are not within our control.
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Dawly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage.
Without limiting the above, Dawly does not warrant that:

To the fullest extent permitted by law:
These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) and are a fundamental basis of the bargain between you and Dawly. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
No exclusion, liability cap, non-refund rule or exclusive-remedy wording in these Terms overrides an express refund obligation, the full $399 formation exception, or rights or liabilities that cannot lawfully be limited. The provider-event exclusion does not cover loss caused or contributed to by Dawly’s own breach, negligence, fraud or misconduct. Accepted support obligations remain in place.
You agree to defend, indemnify, and hold harmless Dawly and its owners, officers, employees, contractors, and providers from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:
We may suspend or terminate your access to the Services, or refuse to begin or continue work, at any time, with or without notice, if:
You may stop using the Services at any time. Termination does not itself create a refund right; the exceptions in Section 7, including the full $399 formation refund, remain applicable. Sections that by their nature should survive termination — including Sections 1, 7, 9, 12, 13, 14, 16, 17, and 18 — will survive.
Upon termination, we may, consistent with our Privacy Policy and applicable law, retain or delete your data and documents. Your company, once formed, continues to exist under state law independent of these Terms; you remain responsible for its ongoing compliance.
We may update these Terms prospectively and identify each adopted version and its effective date. New orders use the version accepted before payment. An update does not retrospectively reduce rights or change prices, guarantees or service scope for an existing order. Material changes to an existing engagement require the agreement or notice mechanism already permitted by its accepted terms and applicable law; continued use of the website alone is not acceptance of a different service order.
We may also modify, suspend, or discontinue any part of the Services at any time.
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules.
Before starting any formal proceeding, you agree to first try to resolve the dispute informally by contacting us at legal@dawly.com. We will try in good faith to resolve it. If we cannot resolve it within 30 days, either party may pursue the remedies below.
Except for (a) either party's right to seek injunctive or other equitable relief in court to protect its intellectual property or confidential information, and (b) qualifying claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be resolved exclusively by final and binding individual arbitration, and not in a court of law. The arbitration shall be administered by the American Arbitration Association under its then-current applicable rules, seated in Wyoming, United States, and conducted in English. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
You and Dawly each knowingly and voluntarily waive the right to sue in a court of law and the right to a trial by jury. By agreeing to these Terms, you understand that you are giving up your right to litigate disputes in court before a judge or jury, except as expressly stated above.
To the fullest extent permitted by law, all disputes will be resolved on an individual basis only. You and Dawly each waive any right to bring or participate in a class, collective, consolidated, or representative action, and the arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.
You may opt out of the arbitration agreement in Section 17.3 by sending written notice to legal@dawly.com within 30 days of first accepting these Terms, stating your name and that you wish to opt out. If you opt out, disputes will instead be resolved by the courts of the State of Wyoming, United States, and you and Dawly consent to their jurisdiction. Opting out does not affect any other part of these Terms.
These Terms are written in English. If we provide a translation (for example, in Arabic) for convenience, the English version controls in the event of any conflict.
