Coverage and refund limits

This is a conditional, capped refund of Dawly’s setup fees for accepted Banking and Payment Processing services. Each service is assessed separately. For an eligible unsuccessful service, the refund is the lower of $500 and the amount actually paid for that service after discounts, with a combined maximum of $1,000. It is not a full refund of the package or of the Banking & Payments charge. The $399 formation fee has its own refund rule below.

How these terms apply to your order

These guarantee terms are effective September 24, 2026. The applicable version must be expressly included in your accepted order before payment. They supplement the general Terms of Service and Refund Policy for the covered services. Earlier orders retain their accepted terms. It does not remove the full $399 formation refund described below, any separate refund obligation arising from Dawly’s own breach, or rights and liabilities that cannot lawfully be limited.

Banks and payment providers make their own approval decisions. Our commitment under this guarantee is a refund of the covered assistance fee within its stated limits.

For a new order that expressly includes this guarantee, these specific guarantee provisions govern the covered refund promise if they conflict with a general non-refund rule. They do not override the full formation refund, an independent remedy for Dawly’s breach, mandatory rights, or support already included in the order.

The $399 formation fee

Non-refundable unless Dawly makes a formation error or fails to deliver the agreed company documents. Either exception refunds the full $399, without deducting government or third-party costs included in that fee.

A banking or payment-processing rejection does not make formation refundable.

Who qualifies, and what must I provide?

We assess Banking and Payment Processing before accepting payment for those services. Disclose any previous application rejection, account hold, freeze, suspension or closure, with the reasons and documents available to you. A disclosed history does not automatically disqualify you; we assess the current business, owners, residence and required capabilities and confirm the accepted scope and guarantee eligibility in writing. Formation-only orders do not inherit banking or payment qualification requirements. You must provide accurate information, the agreed documents, verification and signatures, and reasonable follow-up information. We identify any missing material information and give you an opportunity to provide it.

If banking or payment processing is essential to your formation purchase, we review the combined plan before collecting the formation fee.

Before payment, the accepted quote must identify each covered service, its agreed capabilities and deliverables, its fee after discounts, and its exact maximum refund. For the combined offer, the allocation below divides the Banking & Payments charge equally because both services have the same standalone list price; there is no additional administration component. Any material change to the accepted scope or allocation requires your agreement before it applies.

Banking: successful completion

Banking covers setting up a business account for the banking functions recorded in your accepted service plan, such as receiving and sending transfers. The service is successfully completed when the account is approved for your disclosed business, operational with those functions, and the access and setup details have been delivered to you. Merchant payment processing is a separate service, including when purchased in the same package.

An account provided by a bank or a non-bank financial provider may satisfy Banking if its account type and capabilities meet the accepted plan. A non-bank account does not satisfy a plan that expressly requires a bank account. Payment-processing approval alone does not complete Banking.

Payment Processing: successful completion

Payment Processing covers enabling your business to accept the payment methods recorded in your accepted service plan and receive payouts to the agreed settlement account. It is successfully completed when the provider approves your disclosed business, live payment acceptance and payouts are enabled, any integration expressly included in the plan is completed, and the access and setup details have been delivered to you. A bank account or receiving account alone does not complete Payment Processing.

A reasonable solution counts as successful completion

A reasonable solution is an approved, operational solution that is available to your disclosed business and owners and meets the essential needs recorded before payment in your accepted service plan. Those needs include the relevant account type, payment or transfer methods, currencies, integrations, costs, limits and payout requirements. A solution must meet those agreed requirements; approval alone is insufficient.

Once Dawly delivers such a solution for Banking or Payment Processing, that service is considered successfully completed and its setup fee is not refundable under this guarantee. This applies when a reasonable alternative provider fulfils the agreed needs, even if your preferred provider declined the application. A preference for a different provider does not create a refund entitlement unless a specific provider was expressly required in the accepted plan. Banking and Payment Processing are assessed independently.

Dawly records completion in writing, identifying the provider, the enabled capabilities, material fees and known restrictions. A recommendation, referral, application submission, preliminary approval or an account still awaiting required activation is not successful completion.

How much is refunded?

For an eligible claim, the refund is the lower of $500 and the assistance fee actually paid for the unsuccessful service, after discounts. Banking has its own $500 cap and Payment Processing has its own $500 cap, with a combined maximum of $1,000 if both qualify. Failure of one service does not refund a successfully completed service or increase the other service’s cap. Your accepted quote must show the fee allocated to each service and its exact maximum refund before payment. The caps apply equally at the standard and promotional prices; they are not a promise to refund the entire Banking & Payments charge. Formation, government and third-party fees, merchant funds and business losses are outside this setup-fee guarantee. These caps do not limit rights or liabilities that cannot lawfully be limited.

Separate payments for formation and the add-on

At the standard price, Formation is charged at $399 and Banking & Payments at $1,598, for a total of $1,997. At the promotional price, Formation is charged at $399 and Banking & Payments at $1,101, for a total of $1,500. These are two separate one-time transactions. Banking and Payment Processing remain separate services within the second transaction, with independently assessed refunds.

These allocations apply to new accepted orders under this offer. The refund can never exceed what you actually paid for the affected service after any further discount; refunds already issued for that service count toward its limit. No part of the Formation fee is allocated to Banking or Payment Processing.

The promotional package saves $497 against the $1,997 standard price, a reduction of approximately 24.887%. The displayed 25% rounds this percentage to the nearest whole number. This comparison is between the two quoted prices for the same new-order package; it does not change any previously accepted price.

The full price and payment sequence are disclosed before the first payment. After the formation payment, you must expressly confirm the Banking & Payments purchase and its amount. With your consent, the second payment may use the payment method securely saved by Whop; your bank may require additional verification. If the add-on payment is declined or not completed, only Formation is paid and Banking & Payments remains unpaid. We do not charge the second amount merely because the formation payment succeeded.

Separate transactions and the voluntary guarantee’s refund caps do not prevent a payment dispute or limit the amount an issuer may reverse under its applicable rules. Each transaction retains its own payment record and evidence of the services purchased and delivered.

When does the deadline start?

Each covered service has a 90-calendar-day completion period. Within 5 business days after receiving the agreed application checklist and documents, we confirm readiness in writing or send one itemized list of material missing items. The period starts on our written readiness confirmation, or 5 business days after we have received the complete agreed file, whichever comes first. We record the start and end dates. Dawly’s delay in issuing the confirmation does not postpone the start. A pending provider decision alone does not make the file incomplete.

If the agreed setup is not approved and operational by the end date and you have met the material requirements, the covered refund is due: the lower of $500 and the discounted fee actually paid for that unsuccessful service. Provider delay or another application does not restart or extend the deadline. If we conclude earlier that we cannot provide a reasonable solution, we begin the same refund review then. Provider processing times are not guaranteed.

For a new material request, we explain what is needed and allow at least 14 calendar days to respond, unless a longer period is agreed. Before denying guarantee eligibility for non-cooperation or inaccurate information, we identify the specific issue and its effect on the application and give a final 7-calendar-day opportunity to correct it. We may deny only where the unresolved issue materially prevented the agreed setup. A harmless error or delay is not enough. We do not silently pause or reset the 90-day period.

What happens after approval?

The guarantee for each service ends once the account is approved and operational with the agreed capabilities. After that point, Dawly has no responsibility or liability for a bank’s or payment provider’s subsequent actions, decisions, restrictions or service failures, including holds, reserves, freezes, suspensions, closures, payout delays, rejected transactions, chargebacks, outages or changes to terms or eligibility, or any resulting loss of access, funds, revenue or business. These events do not reopen the guarantee or entitle you to a refund of our completed setup service.

This exclusion applies to the fullest extent permitted by applicable law. It does not cover losses caused or contributed to by Dawly’s own breach, negligence, fraud or misconduct, or liability that cannot lawfully be excluded. Our express refund obligations and any support included in your accepted order remain in place.

Requesting a review or refund

Include your order number and the service concerned. We acknowledge a request within 2 business days and issue a written decision within 10 business days. We use the accepted plan, payment record, application history and completion notice. If material information is missing, we request it within 5 business days, explain why it is needed, and allow at least 14 calendar days to respond. Only the claim-review period pauses while that information is outstanding; we decide within 10 business days after receiving it. We do not request information already in our records.

We initiate an approved refund within 5 business days of the decision, through the original payment transaction where supported; any alternative method requires your agreement. The payment provider or issuer controls when it appears in your account. At the service deadline, we review an unfinished accepted service automatically and issue our written outcome within 10 business days; you do not need to submit a separate claim. Contacting us does not waive or shorten any rights under applicable law or your payment provider’s rules.

“Business day” means Monday through Friday, excluding U.S. federal holidays. The agreed offer and its dated terms must be accepted before payment; later changes do not reduce rights on an existing order.
